INGClean® Partner Terms of Service

Last Revised: October 17, 2026

IMPORTANT NOTICE: THESE TERMS INCLUDE A MANDATORY INDIVIDUAL ARBITRATION AGREEMENT IN SECTION 19 THAT AFFECTS YOUR LEGAL RIGHTS, INCLUDING A WAIVER OF JURY TRIAL AND CLASS ACTIONS. YOU HAVE THE RIGHT TO OPT OUT, AS EXPLAINED IN THAT SECTION.

INDEPENDENT CONTRACTOR: THESE TERMS DO NOT CREATE AN EMPLOYMENT RELATIONSHIP. YOU ARE AN INDEPENDENT CONTRACTOR WHO USES THE PLATFORM TO OFFER YOUR OWN SERVICES, NOT AN EMPLOYEE OF INGCLEAN, INC.

1. Acceptance of Terms

1.1 Terms of Service. These Partner Terms of Service (the "Terms") form a binding contract between you, as an independent service provider, and INGClean, Inc., a Delaware corporation ("INGClean®", the "Company", "we" or "us"), and govern your access to and use of the ingclean.com website, the INGClean® mobile application (the "App"), and all related services and features (collectively, the "Service").

1.2 Partner. "Partner", "you" or "your" means the person who registers on the Service to offer and provide cleaning services to customers who request them through the platform ("Customers").

1.3 Changes. We may change these Terms. We will notify you of material changes thirty (30) days in advance through the App or by email, and update the "Last Revised" date. Where appropriate, we will ask you to accept the new version. If you do not agree, you may stop using the Service at any time.

2. Your Privacy

The Privacy Policy at ingclean.com/privacy explains what information we collect from Partners and how we use it, including identity documents, Social Security number, facial verification, background checks, and location during services. It is part of these Terms.

3. Description of Service

The Service is a technology platform that allows you, as an independent cleaning service provider, to receive and accept requests from Customers seeking those services. The Company does not provide cleaning services. You are solely responsible for the services you agree to provide ("Requested Services").

4. Relationship of the Parties

4.1 Independent Contractor. You are an independent contractor offering your own services through the platform. These Terms do not create an employment, partnership, joint venture, franchise or agency relationship between you and the Company. You have no authority to act or incur obligations on behalf of the Company.

4.2 Your Independence. You decide:

  • whether, when and for how long you go online on the platform;
  • which requests you accept and which you decline;
  • how you perform the work, with which methods, products and tools, which are your own;
  • whether you also offer your services by other means or on other platforms, including competing platforms. There is no exclusivity.

The Company does not set your hours, shifts or quotas, does not provide you with equipment or cleaning products, and does not control how you perform your services.

4.3 Orientation Video. When you register, the App shows you an orientation video that explains how the platform works: how to receive and accept requests, how payments work, and which safety standards apply. The video does not instruct you on how to perform your work.

4.4 Platform Standards. The standards in Section 6 exist to protect the safety of Customers and Partners, comply with the law, and maintain trust in the platform. They do not constitute supervision or control over how you perform your work.

4.5 Taxes. You are responsible for reporting and paying all taxes on your income. The Company does not withhold taxes or pay unemployment insurance, workers' compensation, social security or other contributions on your behalf. The Company or its Payment Processor may issue you the tax forms required by law (for example, Form 1099).

4.6 Expenses. You bear all expenses of your activity, including transportation, products, tools, phone and data plan. The Company does not reimburse them.

5. Eligibility and Onboarding

5.1 Requirements. To offer services through the platform, you must:

  • be at least 18 years old;
  • be legally authorized to provide services in the United States, as a citizen, permanent resident or holder of a valid work permit;
  • have a valid government-issued ID;
  • if you use a vehicle to travel to services, have a valid driver's license, vehicle insurance and vehicle registration;
  • obtain and maintain any permits or licenses the law requires for your activity;
  • complete the identity verification and background check described below.

5.2 Identity and Facial Verification. During onboarding, you must verify your identity with our provider Persona, which includes photos of your ID, a selfie and a facial verification. Before each facial verification, the App will ask for your consent. The processing of your biometric data, its retention and its destruction are explained in the Privacy Policy.

5.3 Background Check. Once your identity is verified, our provider Yardstik, a consumer reporting agency, will run a background check that may include criminal records, sex offender registries and, if you use a vehicle, driving history. Before the check, you will receive the required disclosure and sign an authorization in a separate document within Yardstik's process. If the report could lead us not to approve you, we will first send you a pre-adverse action notice with a copy of the report and a summary of your rights under the Fair Credit Reporting Act, give you an opportunity to respond, and only then make a final decision, which we will communicate to you in writing.

5.4 Truthful Information. You represent that all information and documents you provide are true, accurate and current, and you agree to keep them up to date. The App will notify you when a document is about to expire. Providing false information is grounds for immediate termination.

5.5 Insurance. You are solely responsible for obtaining and maintaining adequate insurance coverage for your activity, including for your vehicle if you use one. The Company does not provide you with insurance.

5.6 Account. You must create an account with true information and are responsible for keeping your password confidential and for all activity in your account. You may not share your account or allow another person to provide services in your name.

5.7 Payments. To receive payments, you must create and maintain a Stripe Connect account with our payment processor and accept its terms.

6. Platform Safety and Quality Standards

So that Customers can trust opening their homes to a Partner, the platform applies these standards equally to all Partners.

6.1 Verification Before Each Service. Before heading to a service, the App will ask you for a quick facial verification to confirm that you are the verified Partner. If the verification is not completed, the service cannot start and may be reassigned to another Partner.

6.2 Location During the Service. From the moment you head to a service until you complete it, the App shares your real-time location with the Customer and the Company, including in the background. Your location is not tracked outside of a service. To provide services, you must allow location access for the duration of each service.

6.3 Ratings. Customers rate each service. Ratings help maintain trust in the platform. If your average rating falls below the current minimum, shown in the App, your account may be suspended. The Company will notify you and may review your case.

6.4 Cancellations After Accepting. You may decline any request before accepting it, with no consequence. But once you accept, the Customer is counting on you. Cancelling after accepting, especially on short notice or upon arrival, creates a cancellation record. Accumulating cancellations may lead to temporary or permanent suspension of your account, under the rules shown in the App. If you cancel on site for a justified reason (for example, unsafe conditions), the App will ask you for photos as evidence, and the Company may excuse that cancellation.

6.5 Conduct. You must treat Customers and anyone present with respect, without discrimination or harassment, respect the Customer's property, and not arrive under the influence of alcohol or drugs. You must arrive alone at each service: without exception, you may not bring helpers, family members, children, pets or any other person, or allow another person to provide the service in your place. The Customer opens their home only to the verified Partner.

6.6 Suspension. The Company may suspend or deactivate your account if you breach these standards, if a safety incident warrants it while it is investigated, or under Section 20. Where reasonable, it will tell you the reason and give you an opportunity to respond.

7. Use of the Service

7.1 Restrictions. You shall not sublicense, resell, modify, attempt to gain unauthorized access to, or use the Service unlawfully or disruptively.

7.2 Software. We grant you a limited, non-exclusive, non-transferable license to use the App solely to receive requests and provide services through the platform.

7.3 Non-Circumvention. While these Terms are in effect and for 12 months afterward, you must not contact, solicit or accept payments from Customers you met through the platform in order to provide them services outside of it.

7.4 Customer Confidentiality. To provide the service, you will receive the Customer's private information, such as their name, address, access codes, allergies and pets. You must use it only to provide that service, not share it with anyone, and not keep it afterward. You may not take photos or videos of the property or of people, except the photos the App asks you for as evidence.

8. Service Requests

8.1 Acceptance. The App shows you available requests with the area, type of service and the amount you will receive. You freely decide whether to accept each one. By accepting, you commit to providing the service on the agreed date and time and to honoring the stated price.

8.2 Arrival and Start. When you arrive, you must mark your arrival in the App. The platform records your arrival, start and completion times, and your location during the service.

8.3 Confirmation and On-Site Adjustment. Before starting, confirm that the property and the work match what the Customer booked. If there is more to clean, request an adjustment in the App. The Customer must approve the adjustment in the App. If they do not approve it, you will perform only the work included in the original booking. Do not accept payments or agreements outside the App.

8.4 Customer Not Present. Some services are performed without the Customer present. In that case:

  • you will be received by the authorized person named in the booking, or you will enter following the access instructions;
  • if there is no authorized person and no valid access, or the person present does not match the one indicated, do not start the service, report it in the App and contact support. No cancellation will be recorded against you, and support will decide whether any compensation applies (Section 10.2);
  • any price adjustment is approved by the Customer in the App, not by the person present;
  • treat the authorized person as you would the Customer, and do not leave the property open or unsecured when you finish.

8.5 Completion. When you finish, mark the service as completed in the App. The Customer may approve the work, rate it and, if not satisfied, open a dispute within the following 24 hours.

9. Payments

9.1 Amount You Receive. Before you accept a request, the App shows you the amount you will receive for that service, already net of the platform fee. If the Customer approves an on-site adjustment, the amount is updated.

9.2 Collection and Payout. The Company collects payment from the Customer as your limited payment collection agent and transfers the corresponding amount to your Stripe Connect account once the service is completed, within the timeframes shown in the App and those of Stripe.

9.3 Tips. Tips added by the Customer are remitted to you in full (100%). The Company does not retain any portion.

9.4 Holds and Adjustments. The Company may hold a payment while it reviews a dispute, incident or suspected fraud reported within the applicable deadline. If the service was not performed as agreed, the Company may refund the Customer and not pay you for that service, or pay you only part of it. You may be liable for chargebacks caused by your conduct.

9.5 Payment Processor. Payments are processed through Stripe, Inc. The Company is not responsible for delays or errors of the payment processor or your bank.

10. Cancellations

10.1 If You Cancel. If you cancel after accepting, the Customer will be refunded or assigned another Partner, and Section 6.4 will apply.

10.2 If the Customer Cancels. If the Customer cancels, the Company decides the Customer's refund. If the Customer cancels on short notice, or you arrive and there is no access to the property (Section 8.4), contact INGClean® support through the App. Support will review each case using the platform's records and decide whether any compensation applies to you. There is no automatic cancellation payment.

11. Incidents and Damage

11.1 Reporting. If an accident, damage, loss or risky situation occurs during a service, report it immediately in the App with a description and photos. If anyone is in danger, call 911 first.

11.2 Responsibility. You are responsible for any damage you cause to property or people during the service. Customer claims for damage or loss must be submitted within 24 hours after the service is completed. The Company will review each case using the platform's records and may help coordinate a resolution, but it is not obligated to cover such damage.

12. Your Content

You are responsible for the content you provide through the Service, such as your profile photo, messages and evidence photos. You grant us a worldwide, non-exclusive, royalty-free license to use it as necessary to operate and improve the Service, and to disclose it when required by law.

13. Mobile Services

13.1 Device. You provide the phone and data plan required. To provide services, you must keep notifications enabled and allow location access during each service.

13.2 SMS Text Messages. If you check the consent box, which is never pre-checked, the Company will send you text messages about your account and the Service, such as new available requests, service reminders, and activity reminders if your account becomes inactive. Message frequency varies based on your activity. Message and data rates may apply. Reply STOP to opt out or HELP for help, or contact admin@ingclean.com. Consent to text messages is not a condition of using the Service. The Company does not share, sell, or rent your mobile phone number to third parties for marketing purposes.

13.3 App Stores. The same provisions regarding Apple and Google in Sections 10.5 to 10.7 of the Customer Terms of Service, published at ingclean.com/terms, apply to you.

14. Intellectual Property

The Service and its trademarks, including INGClean®, are protected by intellectual property laws and belong to the Company. You may not use the Company's trademarks, for example on uniforms, business cards or social media, without our prior written permission. The Company does not provide uniforms, badges or branded materials.

15. Third-Party Services

The Service works with third-party providers such as Stripe, Persona and Yardstik, whose services are subject to their own terms. The Company is not responsible for them.

16. Indemnification

You agree to defend, indemnify and hold harmless the Company, its affiliates, and their officers, employees and agents from any claim, loss, damage or expense (including reasonable attorneys' fees) arising from (a) the services you provide, (b) your conduct, (c) your violation of these Terms or the law, or (d) any claim regarding your classification or your taxes.

17. Representations and Warranties

You represent that you meet and will continue to meet the eligibility requirements, and that the information you provide is true.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY THAT YOU WILL RECEIVE A MINIMUM NUMBER OF REQUESTS OR AMOUNT OF INCOME.

18. Limitation of Liability

THE COMPANY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR DIRECT DAMAGES EXCEEDING THE PLATFORM FEES DEDUCTED FROM YOUR PAYMENTS IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR, IF NONE, ONE HUNDRED U.S. DOLLARS (US$100).

19. Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.

19.1 Agreement. Any dispute between you and the Company relating to these Terms, the Service or your relationship with the platform, including disputes about your classification as an independent contractor, will be resolved through individual, final and binding arbitration, not in court, except for claims that qualify for small claims court. The Federal Arbitration Act governs this agreement.

19.2 Waivers. YOU AND THE COMPANY WAIVE THE RIGHT TO A JURY TRIAL AND TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE ACTION. CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS.

19.3 Procedure. Before starting an arbitration, the claiming party must send the other party a written notice by certified mail describing the claim and the relief sought, and the parties will have sixty (60) days to try to resolve it. The arbitration will be administered by the American Arbitration Association under its applicable rules, in Miami-Dade County, Florida, unless otherwise agreed, and will be confidential. Arbitration costs are governed by the AAA rules; any costs not allocated will be split equally. However, if you demonstrate that you are unable to pay your share, or that the costs would be prohibitive compared to litigation, the Company will pay the portion necessary so that arbitration is not cost-prohibitive.

19.4 Opt-Out. You may opt out of this agreement by sending a written notice with your name and address to the mailing address in Section 23 within thirty (30) days of accepting these Terms. Opting out does not affect your relationship with the platform.

19.5 Severability. If the class or representative action waiver is found invalid for a claim, that claim will be resolved in court, and the rest of this agreement will remain in effect.

20. Termination

You may stop using the platform and delete your account at any time. The Company may suspend or terminate your account if you breach these Terms, provided false information, no longer meet the eligibility requirements, or for safety reasons. Fraud and illegal activity may be reported to the authorities. If your account is terminated for these reasons, you may not register again. The sections on taxes, confidentiality, non-circumvention, indemnification, limitation of liability and arbitration survive termination.

21. General

These Terms, together with the Privacy Policy, are the entire agreement between you and the Company regarding the Service. They are governed by the laws of the State of Florida. Any claim must be filed within one (1) year after it arose. You may not assign these Terms; the Company may assign them without restriction. If any provision is found invalid, the remaining provisions remain in effect.

22. U.S. Government Restricted Rights

The Service is made available to the U.S. government with "RESTRICTED RIGHTS" under 48 CFR 52.227-19 and 48 CFR 252.227-7013 et seq.
