INGClean® Customer Terms of Service

Last Revised: October 17, 2026

PLEASE READ THESE TERMS OF SERVICE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. SECTION 16 CONTAINS AN AGREEMENT TO ARBITRATE THAT REQUIRES (WITH LIMITED EXCEPTION) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION, AND FURTHER (A) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST THE COMPANY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (B) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (C) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED BY A JURY OR IN A COURT OF LAW. YOU HAVE THE RIGHT TO OPT OUT OF ARBITRATION AS EXPLAINED IN SECTION 16.

1. Acceptance of Terms

1.1 Terms of Service. These Terms of Service (the "Terms") form a binding contract between you and INGClean, Inc., a Delaware corporation ("INGClean®", the "Company", "we" or "us"), and govern your access to and use of (i) the ingclean.com website (the "Site"), (ii) the INGClean® mobile application (the "App"), and (iii) all services, content, tools, features and functionality offered on or through the Site and the App (collectively, the "Service"). By accepting these Terms or by using the Service, you acknowledge that you have read, understood and agree to be bound by them.

1.2 User. "You" means you as a user of the Service. If you accept these Terms on behalf of a company or other entity, you represent that you have authority to bind it, in which case "you" refers to that entity. If you do not have such authority, or do not agree with these Terms, you must not accept them and may not use the Service.

1.3 Changes. We may change these Terms. If we do, we will post the changes at ingclean.com/terms and update the "Last Revised" date. We will use commercially reasonable efforts to notify you of material changes thirty (30) days before they take effect, through the App, a notice on the Site, your email, or other reasonable means. Where appropriate, we will ask you to accept the new version in the App. If any change is not acceptable to you, you must stop using the Service.

2. Your Privacy

To learn how we handle the information you provide, please see our Privacy Policy at ingclean.com/privacy (the "Privacy Policy"), which is part of these Terms.

3. Description of Service

The Service is a technology platform that connects you with independent cleaning service providers ("Partners").

INGClean® DOES NOT PROVIDE CLEANING SERVICES. The Company is not a cleaning service provider and does not employ Partners. Partners are independent contractors who decide whether to accept each request and how to perform their work. We make no representations or warranties about the quality of the services you request from Partners ("Requested Services"). To the maximum extent permitted by law, we are not responsible for the performance or conduct of Partners.

4. Eligibility and Accounts

4.1 Eligibility. You must be at least 18 years old to use the Service.

4.2 Account. To register, you will create an account linked to your email address (the "Account"). You agree to keep your information true, accurate and current. You are responsible for keeping your password confidential and for all activity in your Account, and you agree to notify us immediately of any unauthorized use. You may delete your Account at any time from the App, as explained in the Privacy Policy.

5. Access and Use of the Service

5.1 Access; Restrictions. You may access and use the Service only for your personal, non-commercial purposes as an individual or for your internal business operations as an entity. You shall not (a) sublicense, resell, rent, lease, transfer, assign, time share or otherwise commercially exploit or make the Service available to any third party; (b) modify, copy, distribute, transmit, reproduce, or create derivative works of the Service or any content made available thereon; (c) use the Service in any unlawful manner (including without limitation in violation of any data, privacy or export control laws) or in any manner that interferes with or disrupts the integrity or performance of the Service or its components; (d) modify, adapt or hack the Service to, or otherwise attempt to, gain unauthorized access to the Service or its related systems or networks; (e) use bots, hacks, mods or any other unauthorized software designed to modify the Service; (f) circumvent, remove, alter or thwart any technological measure or content protections of the Service; (g) use any spider, crawler, scraper or other automatic device, process or software, or any manual process, to monitor, extract, copy or collect information or data from or through the Service; (h) introduce any viruses, trojan horses, worms, bombs or other materials that are malicious or technologically harmful into our systems; (i) use the Service for illegal, harassing, unethical, or disruptive purposes; or (j) access or use the Service in any way not expressly permitted by these Terms. You shall also comply with any codes of conduct, policies or other notices the Company provides or publishes in connection with the Service.

5.2 Treatment of Partners. You agree to treat Partners with respect, provide them with a safe place to perform the service, and not discriminate against or harass them. The Company may suspend your Account if you breach this obligation.

5.3 Software. Any software that the Company makes available in connection with the Service ("Software") contains proprietary and confidential information protected by intellectual property and other laws. Subject to these Terms, the Company grants you a non-transferable, non-sublicensable and non-exclusive license to use the Software on your personal devices solely in connection with the Service, provided that you shall not (and shall not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, or sell, assign, sublicense or otherwise transfer any right in the Software. You agree not to access the Service by any means other than through the interface provided by the Company.

6. Bookings

6.1 How a Booking Works. In the App, you enter the property type, its features, add-ons, address, and the desired date and time. The platform calculates the price based on its published rates and shows it to you before you confirm. When you confirm and pay, a service request (a "Booking") is created and offered to available Partners in your area. The Booking is assigned when a Partner accepts it, and the App notifies you. If no Partner accepts it, the Company will try to assign it; if that is not possible, you will be refunded under Section 8.

6.2 Relationship with Partners. You acknowledge that a Partner's acceptance of a Booking creates a direct business relationship between you and that Partner.

6.3 Partner Verification. During onboarding, Partners undergo identity verification, including facial recognition, and a background check performed by specialized providers. Before each service, the App confirms the Partner's identity again. These checks reduce risk but are not a guarantee of any person's future conduct. Partners are independent third parties, and the Company does not control or supervise how they perform their work. Accordingly, to the maximum extent permitted by law, the Company is not responsible for the acts or omissions of any Partner. You are responsible for taking reasonable precautions, such as securing your valuables.

6.4 Tracking and Communication. While the Partner is on the way and during the service, the App shows you the Partner's location and lets you communicate through the chat. Use the chat only to coordinate the service.

6.5 On-Site Confirmation and Adjustment. On arrival, the Partner confirms that the property and the work match what you entered in the Booking. If there is more to clean than booked, the Partner may request an adjustment: the App will show you the new price, and the additional charge will be made only if you expressly accept it. If you do not accept the adjustment, the Partner will perform only the work included in the original, paid Booking, and you may not make claims regarding areas or tasks that were not included.

6.6 Approval and Rating. When the service is complete, the App will ask you to approve the work and rate the Partner. If you are not satisfied, you may open a dispute in the App within twenty-four (24) hours after the service is completed. After that period, the Company will not accept disputes about that service. Ratings help maintain platform quality and must be honest and based on your actual experience.

6.7 Incidents. If damage, loss or another incident occurs during a service, report it in the App, with a description and photos, within twenty-four (24) hours after the service is completed. After that period, the Company will not accept incident reports about that service. The Company will review the report and may help coordinate a resolution, but claims regarding a Partner's performance, conduct or damage are ultimately between you and the Partner. The Company is not obligated to mediate or resolve such disputes and disclaims all liability arising from them to the maximum extent permitted by law.

6.8 Services When You Are Not Present. You may book a service at a property where you will not be present. In that case:

  • Authorized Person. You must enter in the Booking the name and phone number of the person who will receive the Partner (the "Authorized Person"), or provide clear access instructions. You confirm that you have that person's permission to share their information.
  • What the Authorized Person may do on your behalf. You authorize the Authorized Person to provide access to the property, give instructions about the service and receive the completed work. Anything the Authorized Person does or accepts during the service is deemed done or accepted by you, and you are responsible for their conduct toward the Partner.
  • Adjustments. If an on-site adjustment is needed, approval of the additional charge will always be requested from you in the App, not from the Authorized Person.
  • If no one receives the Partner. If, on arrival, the Partner cannot access the property because there is no Authorized Person and no valid access instructions, or the person present does not match the one indicated, the Partner may decline to start the service. In that case, the cancellation policy will apply as if you had cancelled late.
  • Service records. The platform records the Partner's arrival time, identity verification, location, and the start and completion times of the service. You agree that these records may be used to review any dispute or incident.
  • Claims. Claims about a service performed while you were not present follow the same rules and the same 24-hour deadline as Sections 6.6 and 6.7, and must include photos or other evidence. You are responsible for securing cash, jewelry, documents and other valuables before a service performed in your absence.

7. Fees and Payments

7.1 Price. The price of each Booking is calculated by the platform based on the type and size of the property, add-ons, area and date, and is shown to you before you confirm. It includes the platform's service fee. By confirming, you agree to pay that price and any additional charge you expressly approve, such as an on-site adjustment or a tip.

7.2 Payment. You authorize us, through the Payment Processor, to charge the payment method you selected (your "Payment Method") in accordance with the Booking details. The Company acts as the Partners' limited payment collection agent. You are responsible for keeping your payment information up to date. If we cannot charge you, neither the Company nor the Partner will be responsible for not providing the service. Except as expressly provided in these Terms, payments are non-refundable. We reserve the right to correct any error made by the Payment Processor, even if payment has already been requested or received.

7.3 Tips. When the service is complete, you may add a tip. One hundred percent (100%) of the tip is remitted to the Partner; the Company does not retain any portion.

7.4 Payment Disputes. If you disagree with a charge, open a dispute in the App or contact us. Once funds have been disbursed to the Partner, any further disputes about payments, tips or expenses are solely between you and the Partner. We do not mediate disputes about payments made outside the Service.

7.5 Payment Processor. We use a third-party payment processor (the "Payment Processor"), currently Stripe, Inc. Payment processing is subject to Stripe's terms and privacy policy, available at stripe.com/legal and stripe.com/privacy. We are not responsible for errors or data security incidents of the Payment Processor.

8. Cancellations and Refunds

8.1 If a Partner Cancels. If the assigned Partner cancels, the platform will look for another available Partner at no additional cost to you. If we cannot find a replacement, we will refund the amount you paid.

8.2 If You Cancel. You may cancel a Booking in the App. The Company reviews each cancellation and authorizes the applicable refund based on how far in advance you cancelled and the status of the Booking. Once authorized, the refund is processed by the Payment Processor (Stripe) to the same payment method, within the timeframes of Stripe and your bank, which are typically 5 to 10 business days. All cancellations must be made through the Service. Frequent or unjustified cancellations may result in suspension of your Account.

8.3 Service Not Performed. If the service is not performed for reasons attributable to the Partner or the platform, we will refund the corresponding amount.

9. Your Content

9.1 Your Content. You are solely responsible for all data, images, feedback, text and other materials you provide through the Service ("Your Content"), such as ratings, reviews, chat messages and incident photos. By providing Your Content, you grant the Company and its service providers a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, modify, display and distribute Your Content as necessary to provide and improve the Service, and to disclose it when necessary to comply with the law. The Company may also generate and use aggregated, anonymized data about use of the Service. You represent that you have the necessary rights and permissions to Your Content.

9.2 Security. We use technical, organizational and physical measures to protect Your Content, as described in the Privacy Policy. However, no security measures are failsafe, and we cannot guarantee absolute security.

10. Mobile Services

10.1 Mobile Services. You are responsible for providing the mobile device, data plan and connection needed to use the App. Some features may not work with all carriers or devices.

10.2 Push Notifications. The App sends you notifications about your services. You can turn them off in your device settings, except for infrequent, important service announcements. Your carrier may charge you for data use.

10.3 Location. The App uses the address you provide to quote the service and guide the Partner, and shows you the Partner's location during the service, as explained in the Privacy Policy.

10.4 Mobile App License. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install the App on your devices and use it for your own personal use solely to access the Service.

10.5 Third-Party Distribution Channels. The App is made available through the Apple App Store, the Google Play Store or other distribution channels ("Distribution Channels"), which may have additional terms. These Terms are between you and us only, and not with the Distribution Channel.

10.6 Apple-Enabled Software. If you use the App on an Apple-branded product ("Apple-Enabled Software"), the following also applies:

  • The Company and you acknowledge that these Terms are concluded between the Company and you only, and not with Apple Inc. ("Apple"), and that, as between the Company and Apple, the Company, not Apple, is solely responsible for the Apple-Enabled Software and its content.
  • You may not use the Apple-Enabled Software in any manner that violates or is inconsistent with the "Usage Rules" set forth in the Apple Media Services Terms and Conditions. Your license is limited to use on an iOS product that you own or control, except as permitted by Apple's Family Sharing or volume purchasing programs.
  • Apple has no obligation whatsoever to provide any maintenance or support services with respect to the Apple-Enabled Software.
  • Apple is not responsible for any product warranties. In the event of any failure of the Apple-Enabled Software to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any; to the maximum extent permitted by law, Apple will have no other warranty obligation, and any other warranty obligation will be the Company's sole responsibility to the extent it cannot be disclaimed.
  • The Company, not Apple, is responsible for addressing any claims by you or any third party relating to the Apple-Enabled Software, including (i) product liability claims; (ii) any claim that it fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation.
  • In the event of any third-party claim that the Apple-Enabled Software infringes that third party's intellectual property rights, the Company, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of that claim.
  • You represent and warrant that (i) you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  • Questions, complaints or claims regarding the Apple-Enabled Software should be directed to us at the address in Section 20.
  • You must comply with applicable third-party terms when using the Apple-Enabled Software, such as your wireless data service agreement.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the Apple-Enabled Software, and Apple will have the right to enforce these Terms against you as a third-party beneficiary.

10.7 Google-Sourced Software. The following applies to any App you download from the Google Play Store: (a) these Terms are between you and the Company only, and not with Google; (b) your use must comply with Google's then-current Google Play Terms of Service; (c) Google is only a provider of Google Play; (d) the Company, and not Google, is solely responsible for the App; (e) Google has no obligation or liability to you with respect to the App or these Terms; and (f) Google is a third-party beneficiary of these Terms as they relate to the App.

10.8 SMS Text Messages. If you check the consent box, which is never pre-checked, the Company will send you text messages about your Account and services (for example, booking reminders and Partner arrival notifications) and occasional reminders and offers. Message frequency varies based on your activity. Message and data rates may apply. Reply STOP to opt out or HELP for help, or contact admin@ingclean.com. You can also turn them off in your profile. Consent to text messages is not a condition of using the Service. The Company does not share, sell, or rent your mobile phone number to third parties for marketing purposes.

11. Intellectual Property Rights

11.1 Company Rights. The Service, including the "look and feel" of the Site and the App and all related proprietary content, is protected under intellectual property laws. The Company and/or its licensors own all right, title and interest in and to the Service and the Software. Any rights not expressly granted herein are reserved.

11.2 Company Trademarks. The INGClean® name and logos are trademarks and service marks of the Company. Other names and logos displayed via the Service may be trademarks of their respective owners. Nothing in these Terms grants you any right to use the Company's trademarks without our prior written permission.

11.3 Feedback. We welcome feedback, comments and suggestions for improving the Service ("Feedback"). All Feedback becomes the sole and exclusive property of the Company, which may use it freely without compensation to you, and you hereby assign to the Company all rights in it.

12. Third-Party Services

The Service may include links to or integrations with third-party services ("Third-Party Services"), which are subject to their own terms and privacy policies. The Company does not control and is not responsible for Third-Party Services, and their inclusion does not imply endorsement. Any dealings you have with third parties are solely between you and them.

13. Indemnification

To the extent permitted under applicable law, you agree to defend, indemnify and hold harmless the Company, its affiliates, and their respective officers, employees, directors, service providers, licensors and agents (the "Company Parties") from any and all losses, damages, expenses (including reasonable attorneys' fees), claims and actions of any kind arising out of or relating to (a) your use of the Service, (b) Your Content, or (c) your violation of these Terms. The Company will notify you of any such claim and may assume its exclusive defense, and you agree to cooperate reasonably. You may not settle any claim against the Company Parties without the Company's prior written consent.

14. Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE COMPANY PARTIES MAKE NO WARRANTY THAT (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF ANY SERVICES OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS. THE COMPANY PARTIES MAKE NO REPRESENTATION OR WARRANTY REGARDING THE SUITABILITY OF ANY PARTNER TO PROVIDE REQUESTED SERVICES.

15. Limitation of Liability

UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL THE COMPANY BE LIABLE TO YOU OR ANY THIRD PARTY FOR (A) ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SALES OR BUSINESS, OR LOST DATA, OR (B) ANY DIRECT DAMAGES, COSTS, LOSSES OR LIABILITIES IN EXCESS OF THE FEES ACTUALLY PAID BY YOU IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO YOUR CLAIM OR, IF NO FEES APPLY, ONE HUNDRED U.S. DOLLARS (US$100).

SOME JURISDICTIONS (SUCH AS THE STATE OF NEW JERSEY) DO NOT ALLOW THE DISCLAIMER OR EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE OR WITH THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE.

16. Dispute Resolution by Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.

16.1 Agreement to Arbitrate. You agree that any and all disputes or claims that have arisen or may arise between you and the Company, whether arising out of or relating to these Terms (including any alleged breach thereof), the Service, any advertising, or any aspect of the relationship or transactions between us, will be resolved exclusively through final and binding arbitration, rather than a court (the "Arbitration Agreement"), except that you may assert individual claims in small claims court, if your claims qualify. This Arbitration Agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies, and such agencies can, if the law allows, seek relief against us on your behalf. You and the Company each waive the right to a trial by jury or to participate in a class action. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.

16.2 Prohibition of Class and Representative Actions and Non-Individualized Relief. YOU AND THE COMPANY AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND THE COMPANY AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. ALSO, THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY'S INDIVIDUAL CLAIM(S), EXCEPT THAT YOU MAY PURSUE A CLAIM FOR AND THE ARBITRATOR MAY AWARD PUBLIC INJUNCTIVE RELIEF UNDER APPLICABLE LAW TO THE EXTENT REQUIRED FOR THE ENFORCEABILITY OF THIS PROVISION.

16.3 Pre-Arbitration Dispute Resolution. Most concerns can be resolved quickly by emailing us at the address in Section 20. If such efforts prove unsuccessful, a party who intends to seek arbitration must first send to the other, by certified mail, a written Notice of Dispute ("Notice") to the mailing address in Section 20. The Notice must (a) describe the nature and basis of the claim or dispute and (b) set forth the specific relief sought. If the claim is not resolved within sixty (60) calendar days after the Notice is received, you or the Company may commence an arbitration proceeding. The amount of any settlement offer will not be disclosed to the arbitrator until after the arbitrator determines the amount, if any, to which you or the Company is entitled.

16.4 Arbitration Procedures. Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association's ("AAA") rules and procedures, including the AAA's Consumer Arbitration Rules (the "AAA Rules"), available at adr.org, as modified by this Arbitration Agreement. If there is any inconsistency, this Arbitration Agreement controls unless the arbitrator determines that doing so would not result in a fundamentally fair arbitration. All issues are for the arbitrator to decide, including the scope, enforceability, and arbitrability of this Arbitration Agreement. The arbitrator can award on an individual basis the same damages and relief that a court can award. Decisions by the arbitrator are enforceable in court and may be overturned by a court only for very limited reasons.

16.5 Seat of Arbitration. Unless the Company and you agree otherwise, any arbitration hearings will take place in Miami-Dade County, Florida. If your claim is for $10,000 or less, you may choose whether the arbitration will be conducted solely on the basis of documents, through a telephonic hearing, or by an in-person hearing. If your claim exceeds $10,000, the right to a hearing will be determined by the AAA Rules. In all cases, the arbitrator will issue a reasoned written decision.

16.6 Costs of Arbitration. Payment of all filing, administration, and arbitrator fees (the "Arbitration Fees") will be governed by the AAA Rules. To the extent any Arbitration Fees are not specifically allocated under the AAA Rules, the Company and you shall split them equally; provided that if you demonstrate to the arbitrator that you are economically unable to pay your portion, or the arbitrator otherwise determines that you should not be required to pay it, the Company will pay your portion. In addition, if you demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, the Company will pay as much of the Arbitration Fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. Any payment of attorneys' fees will be governed by the AAA Rules.

16.7 Confidentiality. All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential.

16.8 Severability. If any term of this Arbitration Agreement (other than Section 16.2) is found invalid or unenforceable, it will be replaced with a valid term that comes closest to expressing its intention. If any provision of Section 16.2 is found invalid or unenforceable, this entire Arbitration Agreement will be null and void, unless the provision is invalid solely with respect to claims for public injunctive relief. The remainder of these Terms will continue to apply.

16.9 Opt-Out. You may opt out of this Arbitration Agreement by sending written notice to the mailing address in Section 20 within thirty (30) days of your registration or agreement to these Terms (or, if this Arbitration Agreement is later amended, within thirty (30) days of the amendment taking effect). The notice must include your name and mailing address. If you opt out, the Company will also not be bound by this Arbitration Agreement.

17. Termination

The Company may, in its sole discretion, suspend or terminate your Account or your use of the Service, and remove Your Content, for any reason, including lack of use or violation of these Terms, with or without prior notice. Any suspected fraudulent, abusive, or illegal activity may be referred to law enforcement. The Company may also discontinue the Service, or any part of it, at any time. The Company will not be liable to you or any third party for any termination. If your Account is terminated, you may not attempt to re-register.

18. General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede any prior agreements. They are governed by the laws of the State of Florida, without regard to its conflict of law provisions. The Company's failure to enforce any right is not a waiver of it. If any provision is found invalid, the remaining provisions remain in full force, and the court should give effect to the parties' intentions. Regardless of any statute or law to the contrary, any claim arising out of or related to the Service or these Terms must be filed within one (1) year after it arose or be forever barred. A printed version of these Terms and of any electronic notice will be admissible in judicial or administrative proceedings. You may not assign these Terms without the Company's prior written consent; the Company may assign them without restriction. Section titles are for convenience only. "Include" and "including" mean "without limitation". Notices to you may be sent by email or regular mail. The Company will not be in default for any failure or delay caused by circumstances beyond its reasonable control, such as natural disasters, epidemics, war, civil disturbances, attacks, or power or network outages.

19. U.S. Government Restricted Rights

The Service is made available to the U.S. government with "RESTRICTED RIGHTS." Use, duplication, or disclosure by the U.S. government is subject to the restrictions contained in 48 CFR 52.227-19 and 48 CFR 252.227-7013 et seq. or their successors.
